Terms of Service

Introduction

Hospifi ("we," "us," or "our") provides a suite of software tools and services (collectively, the "Service") that enable businesses to manage communications and operations. These Terms of Service ("Terms") govern your access to and use of the Service. By using the Service, you agree to be bound by these Terms and our Privacy Policy.

Eligibility

You may use the Service only if you are at least 18 years old and capable of forming a binding contract with Hospifi. If you access the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

Accounts and Registration

To access certain features you must create an account. You agree to provide accurate information and to keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

Use of the Service

We grant you a limited, non‑exclusive, non‑transferable license to access and use the Service for your internal business purposes. You agree not to:

  • Modify, reverse engineer, or otherwise tamper with the Service;
  • Use the Service to transmit spam or unsolicited messages;
  • Interfere with or disrupt the integrity or performance of the Service or third‑party data it contains;
  • Attempt to gain unauthorized access to the Service or related systems.

User Content

You are responsible for any data, text, or other content you upload or transmit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non‑exclusive, royalty‑free license to use, host, copy, and display the content as necessary to operate the Service. You represent that you have all rights necessary to grant this license.

Integrations with Meta Platforms

The Service may provide optional integrations with messaging platforms owned by Meta Platforms, Inc., including Facebook, Instagram, and WhatsApp ("Meta Services"). Use of the Meta Services is subject to Meta's own terms and policies, including the Meta Terms of Service and any applicable developer or messaging policies.

  • You are solely responsible for ensuring your use of the Service complies with Meta's policies.
  • We may receive data from Meta necessary to provide the integration. Any such data will be used and retained in accordance with our Privacy Policy.
  • Meta is not responsible for the Service, and Hospifi is not endorsed by or affiliated with Meta. Issues arising from the Meta Services should be directed to Meta.

We reserve the right to suspend or terminate access to the Meta integrations if we believe your use violates Meta's terms or our own policies.

Payments

Certain features of the Service may require payment. Unless otherwise stated, fees are non‑refundable. You authorize us and our payment processors to charge all applicable fees to the payment method you provide. We may change prices by posting notice on the Service or in your account settings.

Prohibited Conduct

In addition to the restrictions above, you agree not to:

  • Use the Service for any illegal or unauthorized purpose;
  • Harass, threaten, or defame others;
  • Upload malicious code or compromise the security of the Service;
  • Misrepresent your affiliation with any person or entity.

Ownership

All rights, title, and interest in the Service, including all intellectual property rights, are and will remain the exclusive property of Hospifi and its licensors. Except for the limited license expressly granted, we do not grant you any rights to patents, copyrights, trademarks, or trade secrets.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOSPIFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR ACCESS TO OR USE OF THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING META; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

Indemnification

You agree to indemnify and hold Hospifi, its officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in Santa Cruz de Tenerife, Spain for the resolution of any dispute.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after the posting of changes constitutes acceptance of those changes.
